Do we have to pass a resolution befor DL agreement

Dear Gurus,
We have to submit a director loan agreement with our application for extension, the agreement must be legal agreement, so do we have to pass a resolution from the shareholder and from the director, and we enclose it with the agreement.

Immigration rules only require the Director loan agreement.
