director, manager or personnel officer of a VAT registered company
They can ? as subway is a VAT registered company i think. and he is a manager

My assunmption is that by Manager/ Director of Limited company they mean an actual owner, founder or shareholder.
Subway manager, you mean manager of a branch / shop (correct me if I'm wrong)
That is just a job title so it's not considered professional from the HO point of view.
It's like in Financial Technology sector, most companies have loads of Director and Manager titles, but they are just titles which anyone can get and that only means they are Managing a specific set of tasks and projects within a small team. At least thats how my company is, I myself am a Director in my company but it's just a job title. I'm not a shareholder of the company nor any of the other employees with the same job title are.
Therefore, I'd be very careful with that. I wouldnt risk it.

In the franchise business model like of the Subway, there will be owners/managers(s) for each outlet who are asked to set up limited companies where they will be appointed as directors responsible for that branch/outlet. These companies should be VAT registered too. So if your friend is a director of a VAT registered business of a Subway outlet then he can indeed sign as a referee. However just being a manager (as your job title) will not qualify as a an acceptable professional referee.
