Eligibility for ILR and qualifying period

I entered the UK on 22nd May 2008 (Entry clearance start date was 1st May 2008) on 2 year WP on Intra-company transfer. Then got 2 extensions under Tier 2 (ICT); one from May 2010 – April 2011 and second from May 2011-April 2013. My current leave expires on 5th May 2013.
Could somebody help me with following questions?
1) Am I eligible to apply for ILR?
2) As I have entered 22 days late from date of entry clearance, can I take the advantage of 90 day rule or have to apply for extension of another 22 days?

based on the information provided you can apply 28 days before 1st May. Yes you can apply 28 days prior as you entered the country within 90 days of your EC!
