Will UK stay as Dependent be considered as Cool-Off period?

Hi,

I'm currently on Tier 2 ICT visa and my wife is in dependent visa.

My understanding is that at the end of 5 years (when my ICT visa ends), we should leave UK for 1 year which is termed as cool-off period and only after that 1 year is over, my company will be allowed to apply for another Tier 2 ICT visa.

I have few questions please:
1) Hope my above understanding is correct.
2) Now, if my wife starts a university course here in UK, can I work in the same company as her Dependent (if my company allows for it)
3) If I continue here in UK as dependent to my wife working for my company for 1 year - will that one year be considered as cool-off period and can my company apply for another Tier 2 ICS at the end of 1 year of my stay as dependent in UK.

Could any please help me with my question.
