Joining an existing multi-million pound business

Can an existing multi-million pound business show that they are undergoing restructuring and that they're keen to have an additional director, who is ready to invest in their business?
In such a case, would the company, from their end, have to show any legal documents in the UK?

Addendum, how would we account for the £200,000 being invested. Would this be through equity or through an unsecured Director's loan?
